Corporate Secretarial (Family Office & Corporate Affairs)

We are partnering with a highly established family office supporting the Chairman and extended family of a prominent regional business group. The office oversees a portfolio of private investment and operating entities and works closely with dedicated legal, corporate secretarial, compliance and administrative functions across the wider group.

This is a unique opportunity for a mature and highly trusted professional to serve as a key liaison between the Chairman's family, board members and various corporate functions. The successful candidate will play a broad-based role spanning corporate secretarial matters, legal documentation, governance, compliance and family office administration.

The role requires a high degree of discretion, professionalism and relationship management capability, given the confidential nature of the matters handled.

Key Responsibilities

Corporate Secretarial & Governance

  • Manage corporate secretarial matters for a portfolio of Singapore-incorporated private companies.
  • Prepare and maintain statutory records and corporate filings.
  • Coordinate board and shareholder meetings, including agenda preparation, minute-taking and follow-up actions.
  • Liaise with external corporate secretarial service providers, regulators and advisors where required.
  • Ensure compliance with statutory and regulatory obligations.

Legal & Documentation

  • Review, draft and coordinate legal and commercial documentation, including loan and financing-related documents.
  • Support the review and execution of agreements and corporate transactions.
  • Liaise with internal and external legal counsel on legal and compliance matters.
  • Conduct legal research and provide practical guidance on corporate governance and legal issues as required.

Compliance & Administration

  • Support compliance and governance initiatives across the family office's private entities.
  • Coordinate documentation, approvals and internal processes.
  • Ensure proper record keeping and maintenance of confidential information.
  • Assist with various administrative and operational matters relating to the family office and associated entities.

Stakeholder Management

  • Act as a trusted point of contact for the Chairman, family members and selected board members.
  • Work closely with senior stakeholders across Singapore and Malaysia.
  • Coordinate with legal, corporate secretarial and other corporate functions across the wider group.
  • Manage sensitive and confidential matters with discretion and sound judgment.

Requirements

  • Degree in Law (LLB) or equivalent legal qualification.
  • Prior legal training within a reputable law firm is essential.
  • Admitted to practice is advantageous but not mandatory.
  • Experience handling corporate secretarial matters for Singapore-incorporated companies.
  • Familiarity with legal documentation, loan documentation, governance and compliance matters.
  • Experience gained within a family office, trust company, private banking, wealth management, corporate secretarial firm, legal practice or related environment will be highly regarded.
  • Exposure to ultra-high-net-worth (UHNW) clients and family office structures is advantageous.
  • Strong interpersonal skills with the maturity and confidence to engage senior family members, board directors and executives.
  • High level of integrity, discretion and professionalism.
  • Seeking candidates with demonstrated stability and longevity in their career history.
  • Occasional travel may be required (typically infrequent and project-driven).
