An exciting opportunity has arisen for a Secretariat Manager to join a highly respected organisation in Singapore, where your expertise in corporate governance and statutory compliance will be truly valued. You will work closely with senior management and the Board, providing essential advice on legislative matters while managing a full spectrum of company secretarial responsibilities.

What you'll do:

As Secretariat Manager, you will play an integral role in upholding robust corporate governance standards throughout the organisation.

  • Assist the Head of Department in developing and implementing effective corporate governance strategies, policies, and activities that align with statutory requirements.
  • Monitor, evaluate, and provide guidance to the Board and senior management regarding legislative matters related to corporate governance practices and policies.
  • Manage the full spectrum of corporate secretarial duties including company incorporations, maintaining and updating statutory registers, as well as preparing directors’ and shareholders’ resolutions.
  • Organise meetings for the Board, Board Committees, Management Committees, and Shareholders, ensuring all logistical arrangements are handled efficiently and minutes are accurately recorded.
  • Prepare comprehensive papers for meetings of the Board, Board Committees, Management Committees, and Shareholders to facilitate informed decision-making.
  • Ensure ongoing compliance with all relevant statutory and regulatory requirements, constitutions, shareholders’ agreements, and internal policies or standards across the Group.
  • Support the preparation of annual reports by drafting key sections such as the corporate governance report, letter to shareholders, Directors’ report, and notices of Shareholders’ meetings.
  • Handle preparation and filing with ACRA for Singapore incorporated companies while attending to other statutory filings overseas as required by business needs.
  • Draft announcements required by SGX and ensure timely posting on SGXNet in accordance with regulatory obligations.
  • Communicate effectively with colleagues across various departments and overseas offices as well as external regulators and third-party service providers to coordinate corporate secretarial matters.

What you bring:

To excel as Secretariat Manager, you bring a wealth of proven experience from both public listed companies and professional services environments.

  • Membership with either the Institute of Chartered Secretaries and Administrators (ICSA) or Chartered Secretaries Institute of Singapore (CSIS) is essential for this position.
  • A minimum of 8 years’ relevant experience gained within corporate secretarial firms or in-house secretarial departments of public listed companies is required.
  • Demonstrated technical competence with thorough working knowledge of regulatory requirements such as Companies Act, SGX Listing Manual, Code of Corporate Governance, Securities & Futures Act is vital.
  • Exceptional attention to detail combined with an ability to work efficiently under pressure ensures tasks are completed accurately within tight deadlines.
  • Outstanding organisational skills enable you to manage multiple priorities simultaneously while maintaining high standards of quality.
  • Proven ability to communicate clearly with stakeholders at all levels—including colleagues from different departments or regions as well as external regulators—is important.
  • Experience preparing board papers, drafting resolutions, taking minutes at meetings, and handling statutory filings demonstrates your readiness for this responsibility-driven position.
  • A collaborative approach fosters positive working relationships within teams while supporting broader organisational objectives.
