Legal Counsel (Private Equity)
A leading private equity firm headquartered in Singapore is seeking a talented Legal Counsel to join its expanding team. This is an exceptional opportunity for a Singapore-qualified lawyer with 2–5 years of post-qualification experience to transition into an in-house role and gain comprehensive exposure across private equity, fund operations, and cross-border dealmaking.
What you'll do:
As Legal Counsel within this respected private equity firm, you will play a pivotal role in supporting the full spectrum of investment activities.
- Provide legal advice on private equity transactions including acquisitions, disposals, joint ventures, and minority investments across multiple jurisdictions.
- Draft, review, and negotiate a wide range of transactional documents such as share purchase agreements, shareholders’ agreements, investment agreements, non-disclosure agreements, and term sheets.
- Support fund formation and structuring activities by reviewing fund documentation, preparing regulatory filings, and managing investor documentation requirements.
- Coordinate with external counsel in various countries to ensure seamless execution of cross-border deals and compliance with local regulations.
- Offer legal support on portfolio management matters including ongoing corporate governance responsibilities and compliance frameworks.
- Assist with regulatory and licensing issues relevant to the firm’s operations both in Singapore and internationally.
- Develop and maintain internal legal processes by creating templates and risk-management frameworks that enhance operational efficiency.
- Contribute to the continuous improvement of legal workflows by identifying areas for process optimisation within the legal function.
- Collaborate closely with investment teams to provide practical solutions that align with commercial objectives while mitigating legal risks.
What you bring:
To excel as Legal Counsel in this dynamic setting, your background should reflect substantial experience handling sophisticated corporate or private equity transactions—ideally spanning multiple jurisdictions.
- Singapore-qualified lawyer with experience gained at a reputable law firm or in-house legal team.
- Demonstrated experience advising on mergers & acquisitions, private equity transactions or other significant corporate deals involving multiple jurisdictions.
- Proven track record supporting cross-border transactions is essential for this role given the international scope of operations.
- Exposure to fund formation processes or funds regulatory work is highly advantageous; familiarity with investment management structures is beneficial.
- Exceptional drafting skills combined with strong negotiation abilities enable you to manage complex documentation effectively under tight deadlines.
- Ability to thrive independently within an entrepreneurial environment while maintaining close collaboration with colleagues across departments.
