What you'll do:
As a Corporate Secretary in this highly regarded team based in Singapore, you will play an integral role in supporting a growing portfolio of privately-held companies. Your day-to-day activities will involve delivering expert corporate secretarial services across a broad spectrum of business needs—from onboarding new clients and handling statutory filings to preparing essential documents for company changes. You will be responsible for ensuring that all entities under your care remain compliant with local regulations while also acting as a trusted advisor on governance matters. Your ability to manage multiple priorities efficiently will be key as you collaborate closely with colleagues in a pooling system designed to foster teamwork and mutual support. - Provide comprehensive corporate secretarial and advisory services to a portfolio of privately-held companies with minimal supervision from senior executives, ensuring each client receives attentive and accurate support.
- Ensure full compliance with the Singapore Companies Act by preparing, reviewing, and submitting all necessary documentation in a timely manner for assigned clients.
- Handle client onboarding processes including completion of anti-money laundering forms, relevant checks, and preparation of engagement letters such as CorpPass or Process Agents documentation.
- Assist clients with CorpPass registration, administration, and user management, ensuring seamless access to government digital services.
- Prepare routine documents related to company incorporation, post-incorporation changes, officer appointments or resignations, bank signatory updates, auditor changes, company name changes, share transactions, branch registrations, LLP/LP registrations, agent changes, AGM documents, annual filings, and applications for waivers to ACRA.
- Follow up diligently with clients on AGM documentation requirements, address queries regarding AGM matters or extensions of time, and manage XBRL preparation and submission as needed.
- Manage iManage matters for assigned clients by maintaining accurate records and ensuring all information is up-to-date within internal systems.
- Update Viewpoint software regularly and set up relevant statutory registers for each entity in accordance with regulatory requirements.
- Attend promptly to ad-hoc work matters for assigned clients as they arise, demonstrating flexibility and responsiveness in meeting client needs.
- Participate actively in the pooling system to provide support to senior executives or paralegals on relevant tasks or ad-hoc assignments when required.

- Graduate or Associate member of ICSA or currently pursuing final stages of the ICSA course demonstrates your commitment to professional development in corporate governance.
- Possess 4-5 years of relevant working experience within a law firm or corporate secretarial firm which equips you with practical knowledge of industry best practices.
- Demonstrated understanding of compliance requirements under the Singapore Companies Act ensures you can confidently advise clients on statutory obligations.
- Familiarity with ACRA/Bizfile systems allows you to efficiently manage electronic filings and maintain accurate company records.
- Proficiency in using computerised information systems commonly utilised in corporate secretarial functions supports effective workflow management.
- Exemplary written and verbal communication skills enable you to interact professionally with clients and colleagues alike.
- Strong interpersonal abilities help you build trust-based relationships both internally within the team and externally with clients.
