What you'll do:

As Assistant General Counsel (Mergers and Acquisitions), you will immerse yourself in the full spectrum of corporate transactional work.

  • Your day-to-day responsibilities will see you partnering closely with senior leaders to provide trusted guidance on intricate deals that are often cross-border in nature.
  • You will be instrumental in structuring transactions that align with both commercial goals and regulatory requirements.
  • Your expertise will be called upon to draft critical documentation, lead negotiations with counterparties, manage due diligence efforts across multiple jurisdictions, and ensure all necessary approvals are obtained efficiently.
  • Provide end-to-end legal support for complex and time-sensitive mergers and acquisitions transactions across multiple jurisdictions, ensuring all aspects are managed efficiently from inception through completion.
  • Drive transaction execution under tight deadlines by balancing commercial priorities with robust legal risk management, working collaboratively with internal stakeholders and external advisors.
  • Structure deals to achieve business objectives while maintaining compliance with relevant laws and regulations, including competition law, foreign investment controls, and regulatory approvals.
  • Advise senior executives and deal teams throughout the transaction lifecycle on legal, regulatory, governance, anti-trust, and risk considerations to facilitate informed decision-making.
  • Lead comprehensive legal due diligence processes by coordinating internal teams and managing relationships with external counsel across various regions.
  • Draft, review, and negotiate a wide range of transaction documents such as term sheets, share purchase agreements, asset purchase agreements, joint venture agreements, shareholder agreements, transitional services agreements, and related documentation.
  • Ensure all transaction documentation is accurate, robustly drafted, and aligned with negotiated commercial outcomes to protect organisational interests.
  • Act as the primary legal interface with investment banks, regulators, counterparties, and external counsel to ensure seamless communication and effective management of all parties involved in transactions.
  • Manage external legal advisors to guarantee high-quality advice is delivered cost-effectively and within required timelines.
  • Support internal approval processes by preparing clear board and committee submissions that articulate legal risks and recommendations effectively.

What you bring:

To excel as Assistant General Counsel (Mergers and Acquisitions) you will bring extensive experience advising on large-scale corporate transactions within both private practice or in-house settings.

  • A good Law Degree from a recognised university coupled with admission as an Advocate and Solicitor of the Supreme Court of Singapore or equivalent qualification.
  • At least 15-20 years’ post-qualification experience gained within a reputable law firm or in-house environment with significant hands-on exposure to mergers and acquisitions.
  • Deep expertise in handling complex M&A transactions including joint ventures, divestments, strategic investments, private equity deals, and corporate restructurings across multiple jurisdictions.
  • Familiarity with the SGX Listing Manual as well as strong knowledge of competition law, foreign investment controls, regulatory approvals processes, governance matters, anti-trust issues.
  • Proven ability to draft, review, and negotiate sophisticated transaction documents such as share purchase agreements, asset purchase agreements, joint venture agreements, shareholder agreements, transitional services agreements.
  • Excellent communication skills enabling you to advise senior executives clearly on complex legal issues while building trust-based relationships across all levels of the organisation.
  • Demonstrated capability in managing external counsel effectively to ensure timely delivery of high-quality advice within budget constraints.
  • Advanced proficiency in Microsoft Word, PDF editing tools, PowerPoint presentations for preparing transaction documents and board materials.
  • A collaborative approach combined with enthusiasm for learning new skillsets within a supportive team environment.
